Welcome to Celestium AI.
By accessing or using our website, submitting forms, interacting with our communication
systems, or subscribing to any Celestium AI service, you agree to the following Terms of Service.

1. Who We Are
Celestium AI is a California based sole proprietorship that provides smart websites, CRM
systems, automation tools, AI powered chat and voice agents, review automation, and other
digital services to businesses across the United States.

2. Use of Website and Services
You may browse our website freely.
Submitting information, engaging with our chat or call systems, or subscribing to a service
means you agree to these Terms of Service.

You may not copy, resell, redistribute, or replicate our website content, templates, automation
workflows, designs, or internal processes without written permission from Celestium AI.

3. Service Access and Licensing
Our services are delivered through cloud based software and digital systems.
Access to websites, dashboards, automations, chat or voice agents, review tools, and any
hosted service requires an active subscription. Access is based on licensed use, not ownership.

All backend assets, templates, workflows, design systems, and proprietary logic remain the
intellectual property of Celestium AI.

When billing lapses or a subscription ends, access to all hosted assets will be disabled at the end
of the paid period.

4. Loss of Access When a Subscription Ends
All websites, landing pages, funnels, SEO tools, review automation workflows, AI chat agents, AI
voice agents, automations, dashboards, and hosted systems created or managed by Celestium
AI are licensed assets.

If your subscription is cancelled, expires, or is not renewed:

  • Public websites and landing pages will be unpublished
  • Automation workflows, smart follow up, and communication agents will be turned off
  • Review and SEO tools will be disabled
  • Dashboard, reporting, and admin access will be removed
  • System phone numbers, tracking lines, or routing tools will be deactivated unless purchased separately

Client owned content (such as leads, contact lists, form submissions, or uploaded media) can be
exported upon request, but the underlying systems, structures, templates, and code are not
transferred.

This section relates only to service access and does not affect your privacy rights. Personal data
remains protected under our Privacy Policy.

5. AI Voice Agents and Automated Communication
Celestium AI may provide tools including:

  • AI powered voice agents
  • AI chatbots
  • Automated outbound or return calls
  • Automated text and email follow up
  • Appointment booking into your calendar
  • Call tracking or call recording for quality and accuracy

These systems operate using the information you provide.

Client Consent Requirements
You are responsible for ensuring that your leads, customers, or contacts have given proper
consent to receive calls, texts, or emails. Celestium AI is not responsible for compliance issues that arise from your contact list or

outreach practices.

Booking and Scheduling Accuracy
If your AI agent or chatbot books appointments for you, you are responsible for maintaining an
accurate calendar. Celestium AI is not responsible for double bookings, scheduling errors, missed appointments, or
sync issues with external calendars.

6. Service Expectations and Results
Celestium AI provides tools that support lead generation, customer engagement, and
communication efficiency.

We do not guarantee:

  • Specific numbers of leads
  • Sales, booked jobs, or revenue
  • Calendar fill rates
  • Response rates
  • SEO ranking improvements
  • Review increases
  • Any specific marketing outcome

Performance depends on your market, offer, response time, advertising efforts, and industry
conditions.

7. Payments, Subscriptions, and Setup Fees
When you activate or purchase a service:

  • Provide accurate business and contact information
  • Ensure any claims, guarantees, or messaging you request are truthful and legally compliant
  • Maintain your own business licensing and regulatory compliance
  • Manage your domain registration and renewal unless agreed otherwise in writing
  • Maintain accurate availability for booking and scheduling tools
  • Obtain required consent for SMS, email, or call based communication

Review Platforms and Policy Compliance
If you use our review automation tools, you agree to follow the rules of platforms such as
Google, Yelp, and Facebook.

Celestium AI is not responsible for account penalties, review removals, or restrictions that
result from how review requests are used.

9. SEO and Online Presence
Any SEO related features or “SEO ready” tools describe the technical setup of your website.
Celestium AI does not guarantee search rankings, placement improvements, or increased
visibility on search engines or third party platforms.

10. Intellectual Property
All templates, websites, workflows, automations, naming frameworks, design systems, and
backend structures created by Celestium AI remain our intellectual property.
You receive licensed access only.

Replicating our systems with another agency or platform without written buyout rights is not
permitted.

11. Limitation of Liability
To the fullest extent allowed by law:

  • Total liability is limited to the amount paid in the thirty days before a claim
  • We are not responsible for lost leads, downtime, missed calls, integration issues, platform outages, or calendar conflicts
  • We are not responsible for indirect, incidental, or consequential damages

Digital systems may experience temporary interruptions outside our control, and you
acknowledge this as part of using cloud based tools.

12. Termination and Suspension
You may request cancellation at any time.
Your service will remain active until the end of the paid period.
We may suspend or terminate access for misuse, violation of these terms, or non payment.

13. Governing Law
These Terms of Service are governed by the laws of the State of California.
Any disputes will be handled under California jurisdiction.
